Please read these terms carefully. They set out the agreement between Ledger One and your practice when you use our software. If you're signing up on behalf of a firm, you confirm you have authority to accept these terms for that firm.
Legal business name: Ledger One ("Ledger One", "we", "us", "our"). Ledger One is the seller and provides cloud-based practice management and accounting software to UK accounting practices and their clients. By creating an account, purchasing a subscription, or using the service, you agree to these Terms of Service. You are contracting with Ledger One.
You are responsible for keeping your login credentials secure, for enabling multi-factor authentication where offered, and for all activity carried out under your account. You must be at least 18 years old and authorised to bind your practice to these terms.
Our order process is conducted by our online reseller Paddle.com Market Ltd (Paddle). Paddle.com is the Merchant of Record for all Ledger One orders. Paddle provides all customer service inquiries and handles returns, refunds, billing questions, payment processing, invoicing, and tax. Paid plans are billed monthly or annually in advance in accordance with Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Fees are quoted exclusive of applicable taxes unless stated otherwise. You may upgrade, downgrade, or cancel at any time from your account settings; cancellation stops future renewals and takes effect at the end of the current billing period. Refund eligibility, including the 30-day refund window and how to request a refund through paddle.net, is set out in our Refund Policy.
You agree not to: (a) use Ledger One for anything unlawful, (b) attempt to access another firm's data, (c) reverse engineer, scrape, or resell the service, (d) upload malware, engage in fraud or spam, or upload content that infringes third-party rights, or (e) probe, scan or place unreasonable load on the service. We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations.
You are the data controller for the client and financial records you upload; we act as your data processor. Our processing is governed by our Privacy Policy and, where applicable, a signed Data Processing Agreement. We treat your data as confidential and apply the safeguards described on our Security page.
We aim for 99.9% monthly availability but do not guarantee uninterrupted or error-free service. Planned maintenance is communicated in advance where possible. Standard support is by email; response times depend on your plan.
Ledger One and its underlying software, branding, and content remain our property. You retain ownership of all data you upload. You grant us a limited licence to host, process, and display that data solely to provide the service.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of the service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect or consequential loss, including loss of profit, goodwill, or data, except where such exclusion is prohibited by law.
Either party may terminate for material breach on 14 days' written notice if the breach is not cured. On termination you may export your data for 30 days, after which we may delete it in accordance with our retention schedule.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
We may update these terms from time to time. Material changes will be notified by email or in-product notice at least 30 days before they take effect. Continued use of the service after that date constitutes acceptance.
